PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY ACCESSING OR USING OUR WEBSITE, PRODUCTS, AND SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“TERMS”). IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS SET FORTH BELOW, DO NOT USE OUR PRODUCTS OR SERVICES.
These Terms and Conditions (“Agreement”) constitute a legally binding contract between Cafwyn (“Company,” “we,” “us,” or “our”) and you (“you,” “your,” or “Customer”). This Agreement governs your access to and use of Cafwyn’s website, products, subscriptions, promotions, and related services, including but not limited to the “Join Latte Legend” subscription program and any giveaways offered in connection with that program.
1. Eligibility:
1.1 General Eligibility: You must be at least 18 years of age and legally capable of entering into binding contracts under applicable law to purchase products, subscribe to services, or participate in the giveaways.
1.2 Jurisdiction: The availability of our products and services may vary by jurisdiction. It is your responsibility to comply with all applicable laws in your jurisdiction.
2. Subscriptions and Billing
2.1 Join Latte Legend Subscription: By subscribing to the Join Latte Legend subscription service, you agree to pay all applicable fees for the products and services selected. Your subscription will automatically renew at the interval selected (e.g., monthly) unless you cancel before the next billing cycle.
2.2 Payment Information: You represent and warrant that you have the legal right to use the payment method(s) provided. Fees are payable in advance and are non-refundable except as expressly stated in the Refund Policy.
2.3 Cancellation: You may cancel your subscription at any time by contacting us at info@cafwyn.com. Cancellation requests must be received at least 7 business days before the next billing date to avoid being charged for the following cycle. No prorated refunds will be provided for partial subscription periods.
3. Giveaway Terms
3.1 General: Active Join Latte Legend subscribers are automatically entered into our ongoing cash prize giveaway program (“Giveaway”). No separate purchase or entry fee is required. The Giveaway is void where prohibited by law.
3.2 Eligibility for the Giveaway:

To participate, you must be an active subscriber in good standing with no outstanding fees or violations of these Terms.

The number of winners and total prize amounts will vary based on the number of active subscriptions at the time of the giveaway.
3.3 Prize Structure Based on Active Subscriptions:

3.4 Scaling Giveaway for Higher Subscriptions:

At 1,000,000 active subscriptions, 3 winners will each receive $1,000,000.

For every additional 1,000,000 active subscriptions, we will add 3 additional winners, each receiving $1,000,000.

For example:

At 2,000,000 active subscriptions, 6 winners will each receive $1,000,000.

At 3,000,000 active subscriptions, 9 winners will each receive $1,000,000, and so forth.

3.5 Winner Selection and Notification:

Winners will be selected at random from the pool of eligible active subscribers within 7 business days of the end of the monthly cycle.

Winners will be notified via the email associated with their subscription.
3.6 Claiming the Prize:

Winners must respond to the notification email within 14 days to claim their prize.

Failure to respond within the specified timeframe will result in forfeiture of the prize, and we reserve the right to select an alternate winner or to forfeit that month’s prize.
3.7 Taxes and Compliance:

Winners are responsible for all applicable taxes, fees, and reporting requirements associated with the prize.

Winners may be required to complete and return necessary tax forms before receiving their prize.
3.8 Transfer of Prizes
Prizes may be transferred to a living trust, company, or organization, including non-profits, provided that the recipient entity is eligible to receive the prize under applicable laws and regulations. If you are a company or organization that would like to take ownership of the prize, or if you wish to transfer the prize to a living trust, you must notify Cafwyn in writing within 7 days of being selected as a winner. The transfer request must include all necessary documentation to verify the recipient's eligibility and legal capacity to accept the prize.
Cafwyn reserves the right to approve or deny such transfers based on compliance with legal and regulatory requirements. Substitutions are not allowed unless deemed necessary by Cafwyn in its sole discretion.
4. Intellectual Property
All content, trademarks, logos, and intellectual property related to Cafwyn, its products, and services are owned or licensed by us. You may not use, reproduce, or distribute our intellectual property without prior written permission.
5. Limitation of Liability
To the fullest extent permitted by law, Cafwyn and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use our products, services, or participation in the Giveaway, even if advised of the possibility of such damages.
6. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
Dispute Resolution:
Any disputes arising out of or related to this Agreement shall be resolved strictly through binding arbitration or mediation and not in a court of law. By agreeing to these Terms, you expressly waive your right to bring any dispute to court, including but not limited to jury trials.
Arbitration or Mediation Rules:

The arbitration or mediation shall be conducted by a neutral third-party arbitrator or mediator, in accordance with the rules of a recognized arbitration service (e.g., JAMS or AAA), unless mutually agreed otherwise.

The location of arbitration or mediation shall be San Diego, California.

You agree to bear all costs and expenses associated with the arbitration or mediation, including but not limited to filing fees, arbitrator or mediator fees, and any additional expenses incurred during the process.
By continuing to use our services, you confirm your agreement to this dispute resolution mechanism and to bear the full cost of resolving disputes through arbitration or mediation.
